Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and Cenovio AI Ventures LLC ("we", "us"), which operates wedplan.ai — our websites, phone apps and related services (the "Service"). By creating an account, signing in or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
Effective October 26, 2026.
Important — please read
The Disputes section says that any dispute with us is decided by a judge in the courts of Michigan, under Michigan law. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR TAKE PART IN A CLASS ACTION, AND CLAIMS MUST BE BROUGHT WITHIN ONE YEAR. By agreeing to these Terms you specifically agree to those waivers.
Who may use the Service
You must be at least 18 years old, able to form a binding contract, and not barred from using the Service under any law or by an earlier suspension. If you use the Service for a business, you accept these Terms on its behalf and confirm you are authorized to; "you" then includes that business.
Your account
- Give accurate information and keep it up to date. One login is for one person — invite your partner, team or staff with their own accounts.
- Keep your password and sign-in methods secure. You are responsible for everything done through your account. Tell us at support@wedplan.ai right away if you think someone else is using it.
- Shared demo accounts are for trying the Service. They can be reset or changed at any time; do not put real personal information into them.
The Service
The Service is currently free and in beta. We may add, change, limit, suspend or discontinue any part of it — including features, content, storage and availability — at any time, with or without notice, and without liability to you. We may set limits on use and storage. Features marked as previews, prototypes or betas may not work as expected. Keep your own copies of anything you cannot afford to lose.
Your content
You keep ownership of the plans, layouts, guest lists, photos, files, messages, posts, listings and other content you submit to the Service ("Your Content").
License to us. You grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable and sublicensable license to host, store, use, copy, process, adapt, modify, translate, create derivative works from, publish, display, perform and distribute Your Content, in any media now known or later developed, to operate, provide, secure, improve and develop the Service and our other products and services, and to promote the Service using content you have made public. We may sublicense these rights to our service providers, and to the people you share Your Content with, so the Service works as you use it.
This license continues after you delete Your Content or your account for: content others have saved, copied or kept in a shared wedding, venue or business; copies in backups and records we keep as the Privacy Policy describes; aggregated or de-identified information; and improvements and features already developed using it. To the extent the law allows, you waive any moral rights in Your Content as against us.
Feedback. If you send us ideas, suggestions or feedback, you give us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without obligation or payment to you.
Aggregated data. We may create aggregated or de-identified data from Your Content and your use of the Service, and use and share it for any purpose. We own that data.
We are not required to store, keep or return Your Content, except where the law requires it.
Your responsibility for content
You are responsible for Your Content and for how you use the Service. You promise that you have all the rights and permissions needed to submit and share Your Content — including other people's information, such as guests' names, contact details and addresses, and photos of other people — and that doing so does not violate the law or anyone's rights. Use other people's information only to plan and run your event or business, and follow the law when you send messages to guests or others through the Service.
Rules for using the Service
You may not use the Service to, or try to:
- break the law or infringe anyone's rights, including intellectual property and privacy rights;
- harass, threaten, bully, defame, deceive or discriminate against anyone, or impersonate a person, venue or business;
- post content that is sexually explicit, hateful, violent, or that exploits or endangers children;
- send spam or unwanted messages, including through guest messaging;
- upload malware, or interfere with, overload or get around the security, sign-in, rate limits or access controls of the Service;
- scrape, crawl or bulk-copy the Service, the venue directory or other people's content, or use it to build a competing product or train AI models (search engines indexing public pages are allowed);
- copy, sell, resell, rent or reverse engineer the Service, except as the law allows despite this limit;
- claim a venue you are not authorized to represent; or
- post anything that breaks the community standards shown on Boards.
Report content or users that break these rules with Report on the post, or write to support@wedplan.ai. On Boards you can also Block a member so you no longer see their posts.
Moderation and removal
We may — but do not have to — review, screen, monitor, refuse, hide, edit or remove any content, before or after it appears, using people or automated tools including AI, at any time and for any reason, without notice. Boards posts are checked before they appear. We may report activity to law enforcement and cooperate with it.
Messages to us and communications
When you write to us — in the app or by email — people and automated systems, including AI tools, may read your message and attachments and act on it: for example, answering it, sorting it, or changing the Service to fix a problem you reported. Automated replies can be wrong, and nothing they say changes these Terms.
You agree to receive communications from us electronically — by email, in the Service and by notification — and that they satisfy any legal requirement that a communication be in writing.
Venue listings and claims
The public venue directory is compiled from public sources, such as business directories and venues' own websites. Listings may be incomplete, out of date or wrong, and a listing is not an endorsement. We may add, edit or remove any listing at any time.
A venue can claim its listing to manage it:
- Only claim a venue you are authorized to represent.
- Proof must come through a channel already on the listing — a sign-in email on the venue's own web domain or the listing's email, a code sent to the listing's email, a line on the listing's website or a DNS record on its domain, a code read out on a call to the listing's phone number — or through a review by us.
- Verified managers can edit the listing, and edits appear publicly right away. Keep them accurate. More than one person may manage the same venue.
- We may refuse any claim, remove a manager's access, and change or undo edits at our discretion — for example, if a claim cannot be confirmed, is disputed or turns out to be wrong, or an edit is misleading.
- A claim ends when the account that holds it is deleted.
A venue that wants its listing corrected or removed can write to support@wedplan.ai; we decide what to change.
AI features and planning tools
Layouts, measurements, seat counts, budgets, schedules, and anything generated or suggested by automated or AI features are planning aids. They can be inaccurate, incomplete or inappropriate, and they may not be unique to you. Check them before relying on them. They are not professional advice and do not replace your venue's or vendors' requirements or fire-code, occupancy, accessibility and safety rules. You are responsible for your event and for how you use any output.
Other users, venues, vendors and services
Venues, vendors, guests and other users are independent of us. We do not control, endorse or guarantee them, their content or their services, and we are not a party to your agreements with them; your dealings with them are between you and them. To the fullest extent the law allows, you release us from claims, demands and damages of every kind, known and unknown, arising out of or connected with any dispute you have with another user or a third party. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
Third-party services you use with the Service — such as signing in with Apple or Google, apps you connect, and linked websites — are governed by their own terms. We are not responsible for them.
Paid services
Some services may cost money — for example, Film Kit and pic2vid when offered for sale. The price, payment terms and any additional terms are shown when you buy; for that purchase, they control where they differ from these Terms. You authorize us and our payment providers to charge your payment method, and you are responsible for applicable taxes. Except as stated in those terms or required by law, payments are non-refundable. We may change prices for future purchases. A promo code is for the person or purpose we gave it to; we may limit or end a code at any time, and it has no cash value.
Our property and your license to use the Service
The Service — its software, design, text, graphics, the venue directory as a compilation, and everything else in it except Your Content — belongs to us or our licensors and is protected by law. wedplan.ai and its logos are our trademarks. We give you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable license to use the Service, and to install our apps on devices you own or control, for your own personal or internal business use under these Terms. We reserve all rights not expressly granted.
Suspension and termination
You may stop using the Service at any time and delete your account in Settings → Delete my account (see how deletion works). We may suspend, restrict or end your access, or delete your account or content, at any time, for any reason or no reason, with or without notice — including if we believe you broke these Terms or created risk or legal exposure for us or others, or if we stop offering the Service. Except where the law requires otherwise, ending an account does not entitle you to a refund. Everything in these Terms that by its nature should survive does — including the license to Your Content as described above, feedback, disclaimers, limitation of liability, indemnity, disputes and general terms.
Disclaimers
THE SERVICE — INCLUDING ALL CONTENT, LISTINGS, PLANNING TOOLS AND AI OUTPUT — IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT ANY CONTENT WILL BE ACCURATE OR PRESERVED, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.
Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER WE NOR OUR MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITIES; OR FOR THE COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR RELATING TO THE SERVICE, ANY EVENT PLANNED WITH IT, OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF US $100 OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms limits or excludes liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.
Indemnity
You will defend, indemnify and hold harmless us and our members, managers, employees, agents and affiliates from and against any third-party claim, and the losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) that come with it, arising out of Your Content, your use of the Service in breach of these Terms, your violation of law or anyone's rights, or your dealings with other users — except to the extent caused by our own negligence or misconduct. We may control the defense of any such claim; you will cooperate and will not settle it without our written consent.
Disputes
Talk to us first. Before filing a claim, the person or company bringing it must send the other a written notice describing the claim and the relief wanted — to us at support@wedplan.ai, to you at the email address on your account — and both must try in good faith to resolve it for 60 days. Deadlines for bringing the claim are paused during those 60 days. This does not apply to small-claims cases or to claims to protect intellectual property or the security of the Service.
Law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Michigan and applicable United States federal law, without regard to conflict-of-law rules.
Courts. Any such dispute must be brought only in the state or federal courts located in the State of Michigan, and you and we consent to the personal jurisdiction of those courts and waive any objection to venue there. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction. We may also seek an injunction in any court with jurisdiction to protect our intellectual property or the Service.
JURY WAIVER. YOU AND WE KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
CLASS ACTION WAIVER. TO THE FULLEST EXTENT THE LAW ALLOWS, YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. If a court finds this waiver unenforceable for a particular claim, only this waiver is removed for that claim, and the rest of this section still applies.
ONE-YEAR DEADLINE. TO THE EXTENT THE LAW ALLOWS, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE YEAR AFTER IT AROSE, OR IT IS PERMANENTLY BARRED.
Apple and Google app stores
If you downloaded our app from the Apple App Store:
- These Terms are between you and us only, not Apple. We, not Apple, are solely responsible for the app and its content.
- Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions, except that the app may also be used by other accounts associated with you through Family Sharing or volume purchasing.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent the law allows, Apple has no other warranty obligation for the app; any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are our responsibility to the extent they are not disclaimed in these Terms.
- Apple is not responsible for addressing any claims by you or a third party relating to the app or your use of it, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If a third party claims the app or your use of it infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with any third-party terms that apply when you use the app, such as your wireless data service agreement.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, have the right to enforce them against you as a third-party beneficiary.
Questions, complaints or claims about the app: support@wedplan.ai.
If you downloaded our app from Google Play, Google is not responsible for the app, and the Google Play Terms of Service also apply to your download and use of Google Play.
Changes to these Terms
We may change these Terms. We will post the new version here with a new effective date. For material changes, we will tell you by email or in the Service at least 14 days before they take effect, unless a change is required by law or concerns a new feature, in which case it may take effect sooner. We may also ask you to accept the new Terms. Changes apply only going forward: they do not apply to a dispute that arose, or a claim you notified us of, before they took effect. If you keep using the Service after a change takes effect, you accept it; if you do not agree, stop using the Service and delete your account.
General
- These Terms, the Privacy Policy and any terms shown when you buy a paid service are the entire agreement between you and us about the Service.

- If any part of these Terms is found unenforceable, it is enforced to the maximum extent possible and the rest stays in effect. Our not enforcing a provision is not a waiver of it.
- We are not liable for any delay or failure caused by events beyond our reasonable control.
- You and we are independent; these Terms create no partnership, agency or employment relationship. Except as stated in the app store section, these Terms give no rights to anyone else.
